TERMS AND PAYMENT:
UNITED STATES ORDERS ONLY. ORDERS OUTSIDE OF THE UNITED STATES WILL BE SUBJECT TO ADDITIONAL CHARGES.
VISA, MASTERCARD, AMERICAN EXPRESS and DISCOVER may be used in payment of your merchandise.
When using VISA, MASTERCARD, AMERICAN EXPRESS or DISCOVER list full name of
card holder, account number, and expiration date.
Payment should accompany all orders unless credit has been established. The
buyer agrees to pay a finance charge of 1-1/2% per month (annual percentage
rate of 18%) on all balances 30 days or more past due.
DELIVERY: All items are FOB Shipping Point. If freight charges are prepaid
to expedite order, Buyer will be billed the actual charge. Seller reserves
the right to make delivery in installments, unless otherwise expressly
stipulated herein. All such installments shall be separately invoiced and
paid for when due without regard to subsequent deliveries. Delay in delivery
of any installment shall not relieve Buyer of his obligation to accept
remaining deliveries. Freight charges are collect and goods become the
property of the Buyer upon acceptance of the goods by the Buyer's agent (by
the carrier) in good condition. The carrier is responsible to the Buyer for
the complete and safe delivery of goods. It is the Buyer's responsibility
to file claim with the carrier if the carrier fails to deliver the goods
complete and in good condition. The company will be happy to furnish advice
in filing claims upon Buyer's request.
RETURN MERCHANDISE: All returns for credit must have the prior written
approval of our office and must be for justifiable reasons. The credit
extended for such approved returns will be based on the invoice value at the
time of purchase, or such lower value as may then represent our current
pricing. All returns will be assessed a handling charge of 20%, unless
otherwise authorized.
PRICE ADJUSTMENT AND ACCEPTANCE: All orders and sales are subject to audit,
approval and acceptance by Stuppy Greenhouse Mfg. Inc. at North Kansas City,
Missouri, and are not binding on the Company until entered into the
computer. In the event of a price change prior to acceptance of your order,
the prevailing price at that time will apply.
MINIMUM ORDER: Due to the high labor cost, all orders for less than $25.00
will be charged a $5.50 handling charge. As a savings to you, it is
suggested you build your order up to the minimum and avoid the handling
charge.
SALES/USE TAX: The Buyer agrees to pay applicable tax if a resident of, or
destination or delivery is in the following states: Arkansas, California,
Florida, Georgia, Iowa, Kansas, Kentucky, Minnesota, Mississippi, Missouri,
Nebraska, North Carolina, Ohio, Oklahoma, Pennsylvania, South Dakota,
Tennessee, Texas, Virginia, Wisconsin.
CANCELLATION: Any contract resulting from a quotation may be cancelled by
the Buyer only by negotiation and upon payment of reasonable cancellation
charges which will take into account expenses already incurred and
commitments made by the company.
CLAIMS AND SELLER'S LIABILITY: All claims for alleged defects in goods shall
be deemed waived unless made in writing to Seller within three days after
receipt of goods by Buyer. Buyer shall afford Seller prompt and reasonable
opportunity to inspect alleged defective goods. Seller's liability shall be
limited to the stated selling price of any defective goods, which in no
event shall include Buyer's costs, lost profits or good will, or any other
special or consequential damages.
CAUSES BEYOND SELLER'S CONTROL: Seller shall not be liable for failure to
deliver or delays in delivery occasioned by causes beyond Seller's control,
including without limitation strikes, lock-out, fire, inability to obtain
materials or shipping space, break-downs, delays of carriers or suppliers,
and governmental acts and regulations.
EXPORTS: All merchandise for shipment outside the Continental United States
have Special Terms, Conditions, and Pricing Schedules. These will be made
available on written request, including the desired list of materials.
GOVERNING LAWS: This contract shall be governed by and shall be construed
according to the laws of Missouri.
